How to Transition From a Sole Proprietorship to a Separate Legal Entity
You started your business with one approach in your own name and now you have made the important step to form a separate legal entity. That is a huge step. The key is to complete the transition so your business will actually benefit from the advantages you gain by forming a separate legal entity.
Over the years, we have seen several mistakes in this transition and many times where someone is still operating their sole proprietorship at the same time as their new entity without knowing about it. We wanted to clear up the steps you must complete to make the transition.
Here are the steps:
Form the separate legal entity (an LLC or corporation). NCP can help you do that (we form corporation and LLCs in all 50 states).
Obtain a NEW TAX ID Number. Even if you had a Tax ID number as a sole proprietorship you need a NEW ONE!
Open a NEW bank account in the name of the entity. Yes, even if you already have a bank account and you went from "Marketing Solutions" to "Marketing Solutions, Inc." that is a new name and a separate legal entity and you need a NEW bank account. Yes, new checks too!
Connect the DBA (doing business as) to the new entity. When you filed the DBA in your local county you were the applicant. That is what make that business in your name. Now you need to "reconnect" the DBA to the NEW legal entity. That means you need to dissolve the DBA name linked to you and refile (the same day) the DBA name to the new entity. That means the new entity is the applicant. This is what connects it to the new entity. Now, for both tax and liability issues any business in the DBA from this point forward is under the new entity name.
Obtain a new business license in the name of the new entity. Yes, a new one. Typically, you can NOT transfer a business license from your sole proprietorship name to your new LLC. Reason? It is a separate legal entity.
Obtain a business credit card in the name of the new entity. Stop using your personal credit card cards to finance your business. Ask the bank how long does the new entity have to be in business before they would recommend you apply for a business credit card.
Update all your sources of income with the new Tax ID number of the new entity. You goal is to avoid receiving unnecessary 1099s (meaning you want the money, just not to yourself individually anymore) for affiliate or referral fees by the end of next year. Make sure all your affiliates are updated with the new entity information.
Update any contracts in the name of the new entity.
Update vendors with your new entity name and information.
Get new business cards. Don't be cheap even if the only difference of the name of your company is "LLC".
Set up a new chart of accounts in the new entity name.
Update your merchant account provider with the new entity information. You may have to complete new forms.
Update your insurance provider with the new entity information.
Comply and update any state related issues in the name of the new entity.
Check with your attorney or CPA for any steps missed.
This is a good list to help you get started. The biggest mistake we see is not completing updating the DBA name from your name to the new entity and using the new bank account. The goal is to get off the sole proprietorship track as fast as possible. If you add new businesses in the future you can add a new DBA name with the entity as the applicant. The key part is to be aware of the type of asset class. Safe assets like gold, investments should be owned by a separate legal entity from your operating business. Real estate should be in a separate legal entity also. If you have several properties each with a lot of equity it may make sense to split those into separate legal entities.

Transforming The Unemployed Into A Functional Work Force
Three reasons why a combination of SOEs (state owned enterprises) and transitional employment as oppose to private enterprise should never be expected to absorb excess labor either in times of socio-economic crisis or national prosperity are based upon the cause and effect of simple arithmetic. First, the more employees a company hires the less profit it produces; thus corporate profits are directly related to employee salaries or benefits not just its production costs as they relate to purchasing raw materials, machinery, buildings and technology, in short, capital expenditures or capital assets. Whereas capital assets represent capital goods, long term investments that can be resold to recover partial loses of investment capital, employee wages and benefits do not. Much like payments made to stockholders, they represent continued profit loses that cannot be recovered through resale of corporate assets.
Secondly, extensive numbers of unionized employees within a private corporation eventually lead to persistent, disruptive power struggles between labor, management and stock holders. This situation is usually brought about through competing altruistic and hedonistic human desires possessed by each of these groups as they attempt to struggle for a greater share of wealth, power and personal autonomy within the corporate hierarchy; thus instead of remaining engaged in creating products for profit the corporation as a whole becomes engaged in repetitive power struggles which eventually leads to its destruction.
Thirdly, corporations are not democracies, they are modern legalized fiefdoms. According to Robert L. Dabney, D.D., L.L.D., from Discussions, Vol. III Philosophical "the other essential feature of feudalism was, that the ownership of the lands also carried to the suzerain (authoritative entity) the right of government over its inhabitants, and made him not only a landlord, but a ruler"; other aspects of corporations that exist within fiefdom or feudalism are corporate allegiance between employer and worker, the importance of earning a wage is the same as that of possessing land since wages are utilized to obtain that which could be produced from land ownership shelter, food, clothing, etc.
There is also the unspoken fact that certain positions within corporate society are provided with various protections, privileges deference that other positions are not. This trait of corporate deference is also a trait of socio-economic structures that exist within a feudalistic culture composed of fiefdoms. Based upon these facts it is in a corporation's best interest to hire as few employees as possible. This is why corporations should never be expected to solve problems of massive unemployment.
However, a state or municipal socio-economic strategy combining SOEs (state or municipally owned businesses) and transitional employment could successfully reduce government subsidy recipients (monthly checks that exist as SSI,SSDI or welfare payments) and increase tax revenues without creating unnecessary hardship financial hardship leading to increased homelessness amongst long term employed and disabled individuals still capable of working in limited capacities.
Transitional employment of SSI, SSDI and welfare recipients within state owned businesses would provide participants with the ability to support local consumer economies, obtain valuable technical/industrial skills and current work experience through on job training without states having to increase their annual expenditures by creating specialized training or employment programs; thus stimulating local economies from the bottom up as it reduces strain on local social service services and tax payers. This situation would decrease the number of government subsidy recipients while ensuring that our country maintains a pool of qualified workers that are readily employable.

What Are Standards?
QAQC (Quality Assurance and Quality Control) is a major business imperative for mining companies. In an industry where just .1g of Au or .2% of Fe can mean the difference between success and failure, having confidence in the assay results your lab of choice provides is incredibly important. One particular QAQC tool is the standard or Certified Reference Material (CRM).
Standards are a package of rock/soil that looks for all intensive purposes like all the other bags of dirt the lab receives but with one major difference. The chemistry of that bag of rock/soil is already known to a very high degree. The lab processes this package in the same manner as it processes all the other samples and reports back accordingly.
The site geologist who then receives the assay results should first compare the assay results of the inserted standards to their certified chemistries. If the two are comparable, then the batch assay results can be trusted and utilised. If the lab reports chemistry for the inserted standard that varies greatly from the certified chemistry of that standard, then the batch assay results can't be trusted.
Major differences between standard certified chemistry and standard lab assayed chemistry can be put down to many things but they are generally all internal lab processes. This may be poor sample prep, machine drift/calibrations issues etc. Most of the time labs will keep pulped samples of the batch and it may be, in the case of a failed standard, that the lab re-assays the whole batch. Once this is done, the standard will again be considered first. Then, once the standard has passed the comparison test, the batch assay results can be trusted and utilised.
Standards are generally created by companies external to the mining company from material provided by the mining company. They are generally created from material that the mining company would consider ore. Standards can either be pulverized or coarse samples. The standard, should, for all intensive purposes, appear the same or roughly the same as any normal sample.
Standards are created by drying and milling a bulk sample of that supplied ore and then splitting it down into smaller, representative packages. Once a batch of standards has been created, a random selection of samples will be taken to be sent to the umpire labs. Theses randomly selected samples must be indicative of the whole batch in average chemistries. In addition to this, the assay results given by the umpire labs cannot exhibit large scale deviation from the average chemistry. Good consistent chemistry of all umpire samples combined with very small standard deviations of that chemistry will indicated a good standard.

Bookmarks and Your Cooking Supply Business
The West End Chef's Supply Company was looking for a way to promote itself. They had been in business for a number of years, but the recession had forced them out of business for a while and they had gone through a tough time. They wanted to reestablish their presence in the market place and were looking for some approach that might help them rebuild.
The owner decided to call on someone they knew who might be in a position to advise them: a salesman at a full service printing company which happened to be located a block from their new location. They called him and they invited him over to see their newly refurbished location.
He showed up and reviewed all of the concerns the owner had about restarting the business. He had a simple solution that he thought would be useful: the use of bookmarks. Why? Because anyone who did a lot a cooking owned a lot of cook books, and anyone who owned a lot of cook books would of course want book marks to mark their places. And so book marks could be used to go out with every order and every mailing. They would just be part of the marketing program from that point on.
As for what goes on them, we like the idea of putting the website as the most prominent element, with email second. Physical street addresses may or may not be critical, depending on what service you are providing, and whether or not foot traffic is the norm. One thing that may make a great deal of sense, particularly if you have more than one location, is to put a QR code on the book mark, and use that to refer to the various locations. The QR can lead to a page which shows maps or which simply lists all of the physical addresses. The great thing about this approach - using a QR - is that you can update your web site at any time. Using the same QR code a year later, the user will find that the code is still good but that it brings the user to a page that has been upgraded. In other words, the code stays the same, but the information which it leads to does not.
We don't think that there's really much you can do to make cheap bookmarks look expensive, as though they cost a great deal of money. All you can do is use color and imagery which imitates the idea of wealth. Using a color pattern which evokes fine wood is one approach; another would be using gold or silver trim. These approaches will give the desired impression, of course, but the effect is limited simply because no one could possibly believe that there is any real money in the item.

Your sales data tells you amazing amounts of information about what your customers are doing, what their interests are, and what their buying habits are.
A catalog doesn't have to be five hundred pages in size. It can be fifty pages, or even twenty. The point is that you have to have some place to start, and you build on it.
For creating your own catalog, you are going to have to do a lot of the work yourself, and you are also going to need the services of a professional printing company. You are going to have to arrange for photography of the items that go into the catalog. You are going to keep a file of each digital photo, and these will be sent to the printer for layout of the pages.

'Just The Two Of Us': Business Partnerships Explained
When considering starting up a business, there are a number of factors to think about. One of the most fundamental is deciding on the type of entity to run your business under. Typically, the most common business entities are sole traderships, limited companies and partnerships.

Unfortunately setting up a partnership requires more than just a good idea - it involves meeting certain criterion and adhering to a number of legal requirements and obligations. What is a partnership?
As the name suggests, a partnership as a business structure denotes the coming together of two or possibly more partners in order to advance a business idea with the intent of making profit for both parties.

What are limited liability partnerships (LLP)?
LLPs combine typical features of a standard partnership and a limited company. An LLP must have at least two partners who will usually share the responsibilities and profits of the businesses. Because of the limited nature of the agreement, partners are not held responsible for other member's possible misconduct.
At least two 'designated members' must be appointed in every LLP who will have a number of additional responsibilities such as; ensuring that the partnership is registered at the Companies House and preparing, signing and delivering the accounts and the annual report to the Companies House. These members will be held legally responsible should agreed activities not be completed.
How do I set up a partnership?
Turning yours and your partners' business ideas or ambitions into a registered partnership must be done the right way in order to ensure that you are following all relevant legislations and rules. It is best to get this right in the initial stages and avoid any penalty fees further down the line for amateur mistakes.
The first step is talking to the professionals - you may be an expert in a certain field and want to base your business around this however this does not mean your are necessarily an expert in starting up a business and the good news is that you are not expected to be.

The Business Terrorism Concept
Having no concern for the other parties involved can be termed as business terrorism preferably terrorism of the highest class, not thinking about the benefits and circumstances of individuals involved can be defined by the stakes involved we neglect. Business terrorism does not think about stakeholders in its cycle, nor does it think of the consumers and entrepreneurs involved, but only about the stakes it can dispose that benefits its success.
Imagine the kind of terror advocated by the likes of the fallen Osama's of the 21st century, try to imagine the lack of vision in these sets off personalities that only benefits there own kind. Osama advocated for the killing of the Christians, he called them infidels, saying he came to cleanse there sinful nature, forgetting the basics of life patterns, that require the basic common science of life. Blood will never cleanse blood, and an eye for an eye only causes more distraction. The funny thing is,this saying only fulfils itself in the long run. His teaching of an eye for an eye only caught up with him and his followers. By living by the bullet today one dies by the bullet tomorrow and Osama's immortality thinking died in the desert, while it worked in his memory. Those bullets shattered his flesh. His teaching will fade compared to the teaching of love that Jesus taught. Osama's teaching was selfish to achieve the success of a few individuals but Jesus teaching came to fulfill the love of all beings living and the Osama´s and his kind were included in his all inclusive love.
Now ask me how this relates to business? And why Osama´s story only came to assert that the power of love brings good to the world as compared to the power of war and bullets preached by the sinful Osama´s.What must happen will happen and for the glory of God all shall be fulfilled. Loves progresses good harvest, strife progresses pain and the choice to harvest pain and good is in our hands as business entities in choice.
Business terrorism is neglect of other stakeholders in the business cycles just as Osama neglected the plea of Christians to benefit his own social cycles. When business neglects other parties; that include its consumers and competitors to gunner its own unjust purpose, it is called the sacrifice of business purpose and the cataclysm of business terrorism.
Terrorizing the pockets of consumers by using unjustified pricing policies due to the fact that man must work to feast: subjecting consumers to genetically modified foods harmful to their health, just to make a buck beats the logic of business: sparking an increase in tax that only end up eating from the savings of the consumers beats the logic of business fairness, plus haven't you had that the consumer is king, so why let that opportunist in you take over.
When subjecting other business entities to unfair tactics so as to have an added advantage. Any business individual will call it negative competition, a small aspect of business terrorism. Taking down billboards, spreading propaganda, using paraphernalia only known to you represent the Osama's in business and his ideology. So to use or not to use, to continue or not remains in the power of choice provided by a higher power greater than us.

The Wrong Business Partner Can Create Lifetime Pain
People select a business partner for a variety of reasons. It may be that one partner brings the required financing or a degree of expertise the other does not have or a group of individuals tackle a new business initiative together.
Regardless of your reason for seeking and selecting a business partner its important to be on the lookout for the right mix. The care business - the task of serving humans - is different! You need someone you can work well with and who shares your ideals so here are a few types you may want to avoid.
The Money Grubber
Some individuals, including those who enter the care business - assisted living, home health care, visiting physician practices - are not people centered at all. Their vision does not extend beyond the receivables and they have little to no concern over the delicate, emotional issues affecting those they serve. They take little time to encourage, uplift, inspire or dignify others.
So if you are people centered and among those who have the maturity to balance the financial with humanitarianism then you want a business partner with the same ideals.
The Envious
Remember the difference between the jealous person and the envious person. The jealous person may resent your advantages, perceived or real. The envious person resents them and wants to strip you of them. This is an incredibly dangerous personality type.
This is the person who after a few weeks of operation is suspicious, for no good reason, about what compensation you may be taking from the business. They do not inquire, they accuse. If you have other sources of income they want to know what they are and how much money they represent.
They are often prisoners of their own insecurities and have the spirituality of Judas Iscariot himself. You will want to watch for this type of person who wants to be your business partner.
The Power Nut
This is the person who regardless of what duties are assigned to them - which they accept - prefer to demonstrate the authority they feel being a business owner should bring. Maybe they want to boss employees who do not directly report to them or they undermine certain decisions made by the partner who has the authority to make them.
If this person does not respond to reason, confusion will settle in and the progress of the business will be compromised.
The Perpetually Ignorant
Everyone who enters into a particular business model is not always super literate in everything that business involves. This is why we have consultants all over the place. However, if you enter into a business model which is new to you it is up to this new partner to investigate the regulatory and operational apparatus affecting that business type.
Some clearly do not invest the time into learning all that the business model involves.
They do not use the internet or available resources from the state of operation. They ask questions months into the partnership they should have known well by now. Some even use ignorance as a basis for feeding both insecurity and fears they create.
Learn how curious a prospective business partner is to learn the business model and not just sit around hoping they can collect a new income. If you discern they are not sufficiently curious this might not be the partner you need.
The Weak Minded
How often have you talked to the person who has all the answers their friend told them were true about your business plan and the information they pass along is as far from reality as you could have ever imagined. It happens everyday.
Some cousin, friend from across the world, etc. who needs to prove they have this person's best interests at heart feeds them all of this garbage and you have to come back and clean it up. Problem is it is already fact in this person's mind and their being weak minded will only bring you further grief. Its time to rethink this business union. You need clear, comprehensive, analytical thinkers, not followers or the work environment will sour often.
Partnerships are not evil but the wrong one can surely make you think they are. So be careful and discerning. Your lifelong fulfillment might be at stake.

Citing one of our examples above. There are musicians of great talents that are marketable, yet they remain poor. The different faculties for whatever vocation you may decide to pursue are nothing but mere tools. The tools however, have to be used in the right way. After all, they say knowledge is power... Right? Wrong! It is not knowledge that is power, but the application of knowledge that brings about the power to create a desired result.
Finding the right business that will make you three or four digit income monthly can take many different routes. In terms of using or accessing the right faculty for this purpose, you will have to work with the faculties of your mind. This is the one tool you will ever need to achieve this ideal income level or even get rich indeed. Generally speaking, you will have to use your strongest faculties. By that I mean, using the strong points, talents or abilities for which you are best suited. Let me quickly point out that there are limitations to this statement. No one can claim that this is concrete fact.
That being said, you can get rich in any business. The simple reason is that you do not need to have the tools set out from the beginning of your journey to creating a hefty sustainable monthly income. You can easily create these tools as you go along. The only thing you must bear in mind is that, there is an exact science by which money or wealth is created. If it were not a statement of truth, how do you explain ten or more entities competing in the same line of business... yet only a few make it big?
As you progress in the systematic pursuit of your endeavour, the opportunities will come to you in increasing number. It will be your responsibility to keep steady in your belief and focus on your purpose. Do all that you can to maintain daily incremental growth. Go as fast as you can, but do not get overwhelmed by the urge to hurry. When you find yourself tending towards haste, practise gratitude in anticipation of your desired outcome. This will always serve to renew your faith in the pursuit of your goals.

Getting "Carded" - A Case for Business Cards
Okay, so when was the last time you got "carded?' No, not that kind of carded! Business carded.
In an ever-increasingly LinkedIn, app-driven world, business cards remain, for many, a gold standard for networking, making connections, exchanging information, and branding ourselves, with the brand usually being the company or organization we work for, and maybe our job title.
I remember my very first business card. I felt somehow like I had arrived, because now I belonged to a bigger world than college ever afforded - the business world! And it became a rite of passage in more ways than one. Each time I changed jobs or moved to a different position, said transition usually came with a business card with a new logo and a new title.
It was so cool (to me, anyway) to be asked "Do you have a business card?" and I got to answer in the affirmative. My friends even gave me a professional looking card case as a gift (red leather Coach, as I recall). And I collected others business cards like kids used to collect baseball cards, or my dear friend Lenny collected vinyl albums back in the late 60's!!
Business cards, by virtue of the logo, job title, and email extension, have come to represent a piece of our identity, our connection to a corporate "tribe," a company - a job!! A belonging, a fitting in, an acceptance of sorts. We've come to define ourselves, to varying degrees, by who we work for and what our job title is. And, being able to proffer a business card usually means we are employed and, therefore, worth something (worth is the key word here). We are tribed up!
What then, when we become unemployed, involuntarily or otherwise? How do we answer that "do you have a business card?" question when we've been cast out of the tribe, off the island of employment? Do we all of the sudden not belong somewhere, don't fit in anywhere, or feel rejected? Do we no longer have worth? The reality, at least in the short term, is that the answer can be "yes."
Until we're once again employed, in business, etc. we're tribe-less in the world of business that defines itself by tribe and position within the tribe. Just look at LinkedIn, for example. People self-identify with their job title and their company. Very few use the headline line below their name to offer a glimpse into who they are and what they have to offer. Even after they're long gone from a company, some people leave that company name and job title as part of their Profile until they can replace it with another. A new tribe! A new identity! A new belonging! An updated Profile! Acceptance! Worth! Back in a tribe!
What to do, then, in between business cards (or jobs)?

You don't need a company name, or even a job title. All you need is YOUR name, a professional email address and a phone number, preferably a cell since immediacy might be key to opportunity.
My friend Paul, embarking on his third career, has an elegant, one-sided black and white card with only those three elements. His name is in a larger font, of course. He is his company, he requires no title (his name is sufficient), and wherever he goes, he belongs!
Jill, on the other hand, has a multitude of experience in discrete but complementary areas. She chose a two-sided card, with her vitals on the front (name, email, phone), and a few carefully chosen headlines on the reverse. We spent considerable time coming up with what she wanted to offer and convey. We narrowed down, discarded, refined and reframed until it was where - and who - Jill wanted to be. She can also use those headlines as part of her LinkedIn Profile, even her elevator pitch. When I see Jill at networking meetings in the community now, she glows when she presents HER business card. She's also been gracious enough to allow me to share her story - and her cards - with you, and at my Self-Marketing workshops.

Another option is to use Microsoft Templates for business cards and print your own. Whatever method you choose, I strongly recommend that you choose one.
It's equal parts interesting, instructive and amusing to experience how different it feels to be able to offer and exchange business cards as opposed to not having one, or saying the dog ate your business card (to explain your lack of one). Once again, you belong, you're accepted, and you have a place, as defined by tribal/business law. New this time, though, is how cool it is to be your very own tribe of one with your very own unique identify - which you always were and always had, but somehow having it appear on a business card makes it more real.
And it can also serve to make you more memorable, open up conversation, maybe even opportunities. After all, you may be marketing your creativity, your proactive style, problem solving, etc. through the very process of creating/having your own cards at the ready (maybe even reinforcing your own sense of what you have to offer). So, go out there and get carded. Sometimes, it really is in the cards!
